These Terms of Service ("Terms") govern your use of the SmartLots Pro mobile application and admin portal (the "Service") operated by SmartLots Pro ("we," "our," or "us").

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service. The Service is intended for use by authorized employees of dealerships that have subscribed to SmartLots Pro.

2. Description of Service

SmartLots Pro is a dealership vehicle management platform that allows authorized users to:

  • Create vehicle tickets with photos and vehicle details
  • Track vehicle locations within dealership premises
  • Move vehicles between parking locations
  • Manage dealership staff and locations
  • Search and retrieve vehicle records

3. Account & Access

Accounts are created by dealership administrators or SmartLots Pro staff. You are responsible for maintaining the confidentiality of your login credentials. You agree to notify your administrator immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Share your login credentials with unauthorized individuals
  • Attempt to gain unauthorized access to other accounts or systems
  • Upload malicious content or interfere with the Service
  • Use the Service to collect personal information about individuals beyond what is necessary for vehicle management

5. Vehicle Data & Photos

All vehicle data and photos uploaded through the Service are the property of the subscribing dealership. You acknowledge that this data may be accessed by dealership administrators and SmartLots Pro support staff for operational purposes.

6. Intellectual Property

The Service, including its design, features, and content (excluding user-uploaded data), is owned by SmartLots Pro and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications to the Service at any time. We are not liable for any downtime or data loss.

8. Limitation of Liability

To the maximum extent permitted by law, SmartLots Pro shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount paid by your employer for the Service in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless SmartLots Pro from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause. Your dealership administrator may also deactivate your account. Upon termination, your right to use the Service ceases immediately.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.
